Welcome to US Tech Automations. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services. Please read these Terms carefully before using our Services.

Important Legal Notice

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES. THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 15.

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you (either an individual or entity, referred to as "you," "your," or "User") and US Tech Automations, LLC ("USTA," "Company," "we," "us," or "our") governing your access to and use of:

  • • Our website located at ustechautomations.com (the "Site")
  • • Our AI-powered workflow automation platform (the "Platform")
  • • All related services, features, content, applications, and APIs (collectively, the "Services")

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to both you individually and that organization.

2. Definitions

  • "Account" means your registered user account on our Platform.
  • "Customer Content" means all data, information, text, files, workflows, configurations, and materials you upload, create, or transmit through our Services.
  • "Workflow" means an automated sequence of tasks or processes created using our Platform.
  • "Integration" means a connection between our Platform and a Third-Party Service.
  • "Third-Party Services" means external applications, services, or platforms that integrate with our Services (e.g., Gmail, Salesforce, Slack).
  • "Subscription" means your paid plan for accessing premium features of our Services.
  • "Usage Data" means data collected about how you interact with our Services, including workflow execution metrics, performance data, and feature usage.
  • "Sensitive Personal Data" means personal information revealing racial or ethnic origin, political opinions, religious beliefs, health information, sexual orientation, precise geolocation, or biometric data.
  • "High-Risk Activities" means uses where failure could lead to death, personal injury, or significant property/environmental damage.

3. Account Registration & Security

3.1 Account Creation

To access most features of our Services, you must create an Account. When registering, you agree to:

  • • Provide accurate, current, and complete information
  • • Maintain and promptly update your Account information
  • • Be at least 18 years old (or the age of majority in your jurisdiction)
  • • Have the legal capacity to enter into a binding agreement

3.2 Account Security

You are responsible for:

  • • Maintaining the confidentiality of your Account credentials
  • • All activities that occur under your Account
  • • Notifying us immediately of any unauthorized access or security breach
  • • Ensuring that your Account is logged out after each session on shared devices

USTA WILL NOT BE LIABLE FOR ANY COST, LOSS, DAMAGES, OR EXPENSES ARISING FROM YOUR FAILURE TO MAINTAIN THE SECURITY OF YOUR ACCOUNT CREDENTIALS.

4. Description of Services

US Tech Automations provides an AI-powered workflow automation platform that enables you to:

  • • Create, configure, and execute automated workflows
  • • Connect and integrate with Third-Party Services
  • • Process data using AI and machine learning capabilities
  • • Monitor workflow performance and execution logs
  • • Collaborate with team members on workflow development
  • • Access pre-built templates and components

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that affect your use of the Services.

Beta Features: We may offer beta or experimental features. Such features are provided "AS IS" without any warranty, and we may discontinue them at any time without liability.

5. Fees, Billing & Subscription

5.1 Subscription Plans

Access to certain features requires a paid Subscription. Current pricing and plan details are available on our website. All fees are quoted in U.S. Dollars unless otherwise specified.

5.2 Payment Terms

  • • Fees are billed in advance on a monthly or annual basis, depending on your plan
  • • Payment is due upon invoice or as configured in your Account settings
  • • All fees are non-refundable except as expressly stated or required by law
  • • We use third-party payment processors; we do not store your full payment card details

5.3 Automatic Renewal

UNLESS YOU CANCEL OR DOWNGRADE YOUR SUBSCRIPTION PRIOR TO YOUR RENEWAL DATE, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR THE SAME TERM AT THE THEN-CURRENT RATES.

5.4 Taxes

You are responsible for all applicable taxes, and we will charge tax where required by law. If you are exempt from tax, provide us with a valid tax exemption certificate.

5.5 Price Changes

We may change our prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new pricing.

6. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are solely responsible for all Customer Content and activities that occur under your Account.

You agree to:

  • • Comply with all applicable laws, regulations, and third-party terms
  • • Respect the intellectual property rights of others
  • • Maintain appropriate security measures for your Account and integrations
  • • Provide accurate information in your workflows and configurations
  • • Use reasonable efforts to prevent unauthorized access to your Account
  • • Promptly notify us of any security vulnerabilities you discover
  • • Comply with the terms of any Third-Party Services you integrate

7. Prohibited Activities

You may NOT use our Services to:

  • • Violate any applicable law, regulation, or third-party rights
  • • Send spam, unsolicited messages, or engage in phishing
  • • Distribute malware, viruses, or other harmful code
  • • Harass, abuse, threaten, or incite violence against any person or group
  • • Engage in fraudulent, deceptive, or misleading activities
  • • Process Sensitive Personal Data without appropriate safeguards and consent
  • • Use the Services for High-Risk Activities
  • • Attempt to gain unauthorized access to our systems or other users' accounts
  • • Reverse engineer, decompile, or disassemble our software
  • • Copy, modify, or create derivative works of our Services
  • • Sublicense, sell, resell, transfer, or distribute the Services without authorization
  • • Use the Services to develop a competing product or service
  • • Interfere with or disrupt the integrity or performance of our Services
  • • Circumvent any security measures or access controls
  • • Scrape, mine, or extract data from the Services without permission
  • • Conduct security testing without our prior written consent
  • • Exceed rate limits or make excessive API calls that burden our infrastructure

Violation of these restrictions may result in immediate termination of your Account and potential legal action.

8. Your Content & Data

8.1 Ownership

You retain all ownership rights to your Customer Content. We do not claim ownership of any data, workflows, or materials you create or upload to our Platform.

8.2 License to Us

By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to:

  • • Host, store, backup, and transmit your Customer Content
  • • Process your Customer Content as necessary to provide the Services
  • • Display your Customer Content to authorized users within your organization

This license exists solely to enable us to provide the Services and terminates when you delete your Customer Content or close your Account.

8.3 Your Responsibilities

You are solely responsible for:

  • • The legality, accuracy, and appropriateness of your Customer Content
  • • Obtaining necessary rights and consents for any data you process
  • • Maintaining appropriate backups of your Customer Content
  • • Ensuring your use complies with Third-Party Service terms

8.4 AI and Data Usage

We may use aggregated, anonymized Usage Data to improve our Services and develop new features. Your actual Customer Content is NOT used for AI model training without your explicit consent. Enterprise customers may opt out of all anonymized data usage upon request.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Services, including all software, technology, designs, logos, trademarks, and content (excluding Customer Content), are owned by or licensed to US Tech Automations and are protected by intellectual property laws. You may not use our trademarks without prior written permission.

9.2 Feedback

If you provide feedback, suggestions, or ideas about our Services ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.

9.3 DMCA Notice

If you believe content on our Platform infringes your copyright, contact us at legal@ustechautomations.com with a detailed notice including identification of the copyrighted work, the infringing material, your contact information, and a statement of good faith belief.

10. Third-Party Services

Our Platform integrates with numerous Third-Party Services (e.g., Gmail, Google Sheets, Salesforce, HubSpot, Slack, and others). When you connect a Third-Party Service:

  • • You are responsible for complying with that service's terms and policies
  • • We are not responsible for the availability, accuracy, or quality of Third-Party Services
  • • Data exchanged with Third-Party Services is subject to their privacy practices
  • • We are not liable for any damages arising from Third-Party Service issues
  • • Third-Party Services may change or discontinue features without notice

Links to third-party websites or services are provided for convenience only. We do not endorse and are not responsible for their content or practices.

11. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

US TECH AUTOMATIONS DOES NOT WARRANT THAT:

  • • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
  • • THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
  • • ANY DEFECTS WILL BE CORRECTED
  • • THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE
  • • THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION WILL MEET YOUR EXPECTATIONS

YOU USE THE SERVICES AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM RESULTING FROM YOUR USE OF THE SERVICES.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL US TECH AUTOMATIONS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • • COST OF PROCUREMENT OF SUBSTITUTE SERVICES
  • • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12.3 Basis of the Bargain

THE LIMITATIONS SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

13. Indemnification

13.1 Your Indemnification of Us

You agree to indemnify, defend, and hold harmless US Tech Automations and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • • Your violation of these Terms
  • • Your Customer Content
  • • Your violation of any applicable law or third-party rights
  • • Your use or misuse of the Services
  • • Your negligence or willful misconduct

13.2 Our Indemnification of You (Paid Plans Only)

For paid Subscription customers, we will defend you against claims that our Services infringe a third party's intellectual property rights, and indemnify you for any damages awarded, provided you give us prompt notice, sole control of the defense, and reasonable cooperation. This does not apply to claims arising from your Customer Content, modifications you make, or your use in violation of these Terms.

14. Term & Termination

14.1 Term

These Terms remain in effect until terminated by either party.

14.2 Termination by You

You may terminate your Account at any time through your Account settings or by contacting us. For paid Subscriptions, cancellation takes effect at the end of your current billing period.

14.3 Termination by Us

We may suspend or terminate your Account:

  • • Immediately for violation of these Terms or applicable law
  • • For non-payment after reasonable notice
  • • With 30 days' notice for any other reason
  • • If your Account remains inactive for 24 months or more

14.4 Effect of Termination

Upon termination:

  • • Your right to access the Services immediately ceases
  • • We may delete your Customer Content after 30 days
  • • You remain liable for any outstanding fees
  • • Provisions that should survive termination will remain in effect

14.5 Data Export

Before termination, you may export your Customer Content through available export features. We recommend exporting your data before closing your Account.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@ustechautomations.com to attempt to resolve the dispute informally. Most disputes can be resolved this way.

15.2 Binding Arbitration

IF WE CANNOT RESOLVE A DISPUTE INFORMALLY, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL BE CONDUCTED IN PHOENIX, ARIZONA, OR REMOTELY AS AGREED BY THE PARTIES.

15.3 Class Action Waiver

YOU AND US TECH AUTOMATIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

15.4 Jury Trial Waiver

YOU AND US TECH AUTOMATIONS EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15.6 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. For any claims not subject to arbitration, you agree to exclusive jurisdiction in the state and federal courts located in Maricopa County, Arizona.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and US Tech Automations regarding the Services and supersede all prior agreements.

16.2 Modifications

We may modify these Terms at any time. We will provide notice of material changes via email or Platform notification at least 30 days before they take effect. Continued use after changes become effective constitutes acceptance.

16.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

16.5 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16.6 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, acts of government, war, terrorism, cyber attacks, pandemics, or infrastructure failures.

16.7 Notices

Notices to us must be sent to legal@ustechautomations.com or by mail. We will send notices to the email address associated with your Account.

16.8 Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not access the Services from or export data to countries subject to U.S. sanctions.
